just wondering if i have to be a registered company if i want to have an online business (a website) that would charge membership fee..

Of course you can.

For online business in China, at least two licenses are needed. One is Business License, which I believe you have got.
The other is Internet License (with approval by local IT Authorities). If your business is provision of service of news, health, medicine, publishling, etc, a third license is required.

There is some grey areas here. The first grey area, by China law, if you own a website for information only, the Internet License is not required but you have to register your website with local IT Authorities; if for online business, you have to get the approval and license, which is very difficult. You know, registration is different from approval. To go to this grey area, some disclaimer and clever interpritation will help, like "for information purpose only".

The second grey area, you can find the host abroad for your website, which should not have a domain name of "dot cn". Then your website is not within the jurisdiction of China IT authorities.
